Microsoft Select

Terms and Conditions


The Terms and Conditions listed here represent a distillation of key components of the University's Microsoft Select Agreement. The complete Agreement governs the program in all cases.

User Responsibilities

Every software licensing program has different terms, conditions, and restrictions. Individual users are responsible for understanding their legal obligations, renewing software licenses in a timely way, and ensuring they are in compliance with the relevant licensing agreements. Some broad guidelines are summarized below. If you have questions or uncertainty about your responsibilities, contact the Office of Software Licensing.

Terms of the License

These products are licensed to the University of Pennsylvania for educational use by its faculty and staff.

You are licensed to run only the products itemized on the License Confirmation Certificate.

You may not run more copies of the software than you have licensed or make unauthorized copies of the CD media.

Each Microsoft Product includes an End-User License Agreement (EULA) text file. This file is displayed when installing the package and covers the product usage rights and privileges for the specific product. You must agree to these terms before installing the software.

Product support is not included as part of this license.

Product Uses

This product is licensed from the Microsoft Corporation, and may only be run subject to the terms of the Microsoft Select agreement between the University of Pennsylvania and Microsoft dated July 23, 2001.

Alternative Product Use Rights

For each copy of Microsoft Encarta Reference Suite, Microsoft Encarta Deluxe, Microsoft Encarta Virtual Globe, any title from the Microsoft Mastering Series, Microsoft Visual Basic (Learning, Professional and Enterprise Editions), Microsoft Visual C++ (Standard, Professional and Enterprise Editions), Microsoft Visual FoxPro, Microsoft Visual J++ (Standard and Professional Editions), Microsoft Visual Studio (Professional and Enterprise Editions), Microsoft Office Developer and Microsoft Visual InterDev you license for instructional purposes in connection with a class or other educational program, you may, as an alternative to deploying the product pursuant to the licensing model described in the product use rights, either (a) permit an unlimited number of student users at your educational institution to run the product on a single computer or similar device, provided that all such users comply with all other terms of this agreement; (b) if you have licensed multiple copies of the product, then, at any time, your students or faculty may run as many copies of the product as you have licensed copies, provided that those users comply with all other terms of this agreement.

Work at Home Product Rights

For each copy of Microsoft Office, Microsoft Office Professional, Microsoft Office Premium, Microsoft Publisher, Microsoft Project, Microsoft Visio Standard, Microsoft Visio Professional, Microsoft Visio Enterprise, Microsoft Visio Technical and Microsoft FrontPage you license, any of your faculty, staff or other employee users (but not any student user) of the computer or similar device on or from which such product is run may also run a second copy, during the term of this agreement for work-related purposes only, from either a laptop or desktop computer that he or she owns or leases.

For each copy of (i) Microsoft Windows NT Workstation or Terminal Services Client Access License and (ii) Windows NT Server Client Access License or Windows BackOffice Server Client Access License, or their successor products, you license, any of your faculty, staff or other employee users (but not any student user), of the computer or similar device on or from which such product is run may also access the Terminal Services of a Windows NT Server, Terminal Server Edition during the term of this agreement for work-related purposes only, from either a laptop or desktop computer he or she owns or leases. Any work-at-home copies must be removed from from such home or laptop computer at the end of the term of this agreement.

Restrictions

You may not:

  • Separate the components of a product made up of multiple components (e.g. MS Office) by running them on different computers, by upgrading or downgrading them at different times, or by transferring them separately, except as otherwise provided in the product use rights.

  • Rent, lease, lend, or host product.

  • Reverse engineer, decompile or disassemble products.

  • Transfer licenses to, or sublicense products to, the US Government

Products licensed under this agreement may be used only by and for the benefit of an eligible education customer.

Client Access Licenses you acquire solely to enable your matriculated students to access your servers are, for purposes of this restriction, deemed to be "used by and for the benefit of an eligible education customer.".

Licenses under this agreement may not be transferred, sublicensed, rented, leased or loaned to any person or entity that is not an eligible education customer.

Export and Re-Export

Licensed products are subject to export control laws and regulations. Users are responsible for understanding and respecting laws and regulations pertaining to the products they use.
